Proveground Student Terms of Service

These Student Terms of Service (these "Terms") are a binding agreement between Proveground ("Proveground," "we," "us," or "our") and you, an individual using the Proveground platform (the "Platform") as a student or alumni user. By creating an account, clicking to accept these Terms, or using the Platform, you agree to these Terms.

1. Eligibility

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, to create an account, accept these Terms, or use the Platform. The Platform is for users 18 and older and is not directed to anyone under 18. You represent that the information you provide about your enrollment, graduation, and alumni status is truthful and current.

2. The Free Core Promise

The core of Proveground is free for students and stays that way: your verified record, applying to opportunities, matching, and discovery are free. Optional paid upgrades (such as Portfolio Pro) are cosmetic and presentational only — payment never affects your match scores, feed ranking, application treatment, or search placement, and never will.

3. Your Account and Conduct

You are responsible for your account and for keeping your password secure. You agree that everything in your portfolio and profile — projects, skills, credentials, enrollment, and experience — is truthful and yours to claim. Misrepresentation is grounds for removal from the Platform. Verification statuses are granted through Proveground's own review processes, remain Proveground's determination, and may be revoked at any time for fraud, misrepresentation, or error. You will use the Platform lawfully and respectfully and will not harass other users, misuse Platform data, or interfere with Platform security or operation.

4. Your Content; License to Proveground

You own the work you create and upload. You grant Proveground a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and share your content according to your visibility settings — for example, showing your portfolio to institutions and corporate partners you have made it visible to. This license ends for content you delete, except that Proveground may retain records reasonably needed to preserve the integrity of verifications already issued (for example, evidence that a verified claim was reviewed), consistent with our privacy practices.

5. Paid Features

Some optional features are paid:

  • Portfolio Pro subscription. Portfolio Pro is an auto-renewing subscription (billed monthly or annually at the price shown at checkout). It renews automatically at the end of each billing period until you cancel. You can cancel anytime through your billing portal; cancellation takes effect at the end of the current billing period, and you keep access until then. Price changes take effect at your next renewal with prior notice.
  • One-time purchases (such as the Proof Sheet) are non-refundable once delivered, except where required by law.

Paid features are presentation and portability only — see Section 2.

6. Off-Platform Payments

Any stipend, wage, salary, project payment, or NIL (name, image, and likeness) compensation you agree with a company or other party is strictly between you and that party and is paid outside the Platform. Proveground may record payment commitments for informational purposes, but Proveground never holds or transmits that money, is not your employer or agent, and is not responsible for whether or how you are paid. Evaluate engagements carefully and comply with any rules that apply to you (including institutional and athletic-eligibility rules for NIL arrangements).

7. No Guarantee of Outcomes

Proveground does not promise you a placement, internship, interview, or hire. Opportunity availability, employer responses, and hiring decisions are outside our control.

8. Employers and Other Users

Companies and other users on the Platform are independent of Proveground. Proveground is not liable for the conduct, decisions, or communications of employers or other users. If you experience harassment, misleading postings, or other misconduct, use the in-Platform reporting and blocking tools or contact support@proveground.com — we review reports and may restrict or remove violators, but we do not guarantee any particular outcome.

9. Privacy

Our collection and use of your data is described in the Proveground Privacy Policy. Records provided by your school are handled consistent with the Family Educational Rights and Privacy Act (FERPA) and our agreements with your institution. Your visibility settings control which institutions and partners can see your portfolio.

10. Termination

You may stop using the Platform and delete your account at any time. Proveground may suspend or terminate your account for violation of these Terms (including misrepresentation), with notice where practicable. Sections 4 (retention for verification integrity), 6, 7, 8, and 11 through 13 survive termination.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVEGROUND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITIES, OR GOODWILL. PROVEGROUND'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE AMOUNTS YOU PAID TO PROVEGROUND IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING. Some jurisdictions do not allow certain limitations; in those jurisdictions, these limits apply to the fullest extent permitted.

12. Binding Arbitration; Class Action Waiver; 30-Day Opt-Out

Except for small-claims matters, any dispute arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration on an individual basis, administered by a recognized arbitration provider under its consumer rules, with any hearing held in a reasonably convenient location or remotely. You and Proveground each waive the right to a jury trial and the right to participate in a class, collective, or representative action. You may opt out of this arbitration provision by sending written notice to support@proveground.com within thirty (30) days of first accepting these Terms; opting out does not affect any other provision.

13. General

These Terms are governed by the laws of [GOVERNING LAW — TO BE CONFIRMED BY COUNSEL], without regard to conflict-of-laws principles. Proveground may update these Terms by posting a new version and providing notice; the Platform may ask you to re-accept before certain actions, and continued use after the effective date constitutes acceptance. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. These Terms, together with the Privacy Policy and any feature-specific terms presented at purchase, are the entire agreement between you and Proveground regarding the Platform.
